NFL Agent Exam-with 100% verified solutions-2024- 2025 NFL Player Contract A written agreement or series of such agreements executed at or about the same time between a person and an NFL Club pursuant to which such person is employed by such Club as a professional football player. Collective Bargaining Agreement (CBA) The union contract between the NFL Players Association and the NFL Management Council covering the terms and conditions of employment of all NFL players. Draft or College Draft The NFL's annual draft of Rookie football players described in CBA Article 6 (College Draft). Drafted Rookie A person who is selected in the current League Year's Draft or whose Draft rights are held, or continue to be held, consistent with this Agreement, by an NFL Club that selected the Rookie in a prior Draft. Required Tender A Player Contract tender that a Club is required to make to a player pursuant to the CBA, either as a matter of right with respect to the player, or to receive Rights of First Refusal, Draft Choice Compensation and/or other rights with respect to the player, as specified in the CBA. Right of First Refusal The right of an NFL Club, as described in CBA Articles 9 (Veteran Free Agency) and 10 (Franchise and Transition Players) to retain the services of certain Veteran players by matching offers made to those players. Draft Choice Compensation The right of any Club, as described in CBA Articles 9 (Veteran Free Agency) and Article 10 (Franchise and Transition Players) to receive draft pick(s) from any other Club. Exclusive Rights Player A player whose contract expires at a time when he has less than three Accrued Seasons in the NFL cannot market his services to other clubs if his old club gives him a minimum salary tender, as described in CBA Article 8, on or before the last day of that League Year. If the tender is provided, this player can only re-sign with his old club (unless the tender is later withdrawn). restricted free agent A player whose contract expires when he has earned three (3) Accrued Seasons. If his old club provides him with a sufficient "Qualifying Offer", as described in CBA Article 9, on or before the last day of that League Year, it retains the right to either match an offer the player may get from another club or to receive draft choice compensation from the club making the offer. The Qualifying Offer is based on the level of draft choices the old club wants to receive. For example, the Qualifying Offer to a player with three (3) Accrued Seasons in 2021 for the Club to receive a second-round draft choice and the Right of First Refusal in 2021 is $3,384,000. For the 2021 League Year, the Restricted Free Agent has until April 23, 2021 to generate an offer from another club. If he fails to get an offer, his exclusive rights revert to the old club unless the Qualifying Offer is withdrawn. Unrestricted Free Agent As described in CBA Article 9, a player whose contract expires when he has earned at least four (4) Accrued Seasons is free to sign with any other club if he does so by July 22 of the same year. If he does not sign elsewhere, his exclusive rights revert to his old club after July 22 only if his old club has given him a written tender by the Monday following the last day of that year's NFL Draft offering to re-sign him for an additional year at a ten percent increase in. If his prior club does not tender such player, then the player remains an Unrestricted Free Agent for the remainder of that League Year. An Unrestricted Free Agent will be restricted in signing elsewhere, however, if he is designated a Franchise or Transition Player. Franchise Player Each club may designate one player who would otherwise be an Unrestricted Free Agent as a Franchise Player. The designation must be made within a two-week period beginning on the twenty- second day preceding the first day of the new League Year and will end at 4:00 p.m. New York time on the eighth day preceding the first day of the new League Year. The club must tender the Franchise Player an offer equal to the formula stated in Article 10 of the CBA or 120% of the player's Prior Year Salary, whichever is greater. If the player's Club extends the nonexclusive tender offer, the Franchise Player can seek offers from other clubs, but the old team can match the offer or receive two first round draft choices from the offering team. If the player's club extends the exclusive tender offer, the club retains exclusive rights to the player and he cannot negotiate with other teams. Once signed by the player, the tender is fully guaranteed. Incentive bonuses not included in Team Salary for Salary Cap purposes based on the player's and/or team's performance during the prior year, as set forth in CBA Article 13 Section 6(c) and accompanying charts. Voidable Contract Any contract year that a veteran player has the right to terminate based upon a contingency shall count as a contract year for purposes of proration until the contingency is fulfilled, at which time any amounts attributed to such year shall be accelerated and included immediately in Team Salary. Any contract year that a veteran player has the right to terminate in his sole control will not count as a contract year for purposes of proration. To the extent that such acceleration puts the Team over its Salary Cap, the difference shall be deducted from its Salary Cap for the following year (CBA Article 13, Section 6(b)(ii)(4)). 30% Rule (Veterans only) No NFL Player Contract extending into a season beyond the Final League Year may provide for an annual increase in Salary, excluding any amount attributable to a signing bonus (except option bonus proration) as defined in CBA Article 13, Section 7 of more than 30% of the Salary provided for in the Final Capped Year, per year, either in the season after the Final League Year or in any subsequent season covered by the Player Contract. 25% Rule for Rookies No Rookie Contract may provide for an annual increase of more than 25% of the player's Year-One Rookie Salary unless such contract provides only for Paragraph 5 Salary equal to the then-applicable Minimum Active/Inactive Salary for each League Year of the Contract. For example, if a player drafted in the fourth round signs a four-year contract with a $400,000 signing bonus, a $660,000 Paragraph 5 salary, and no performance incentives in his first season, the player's Year-One Rookie Salary will equal $760,000, i.e., the prorated portion of his signing bonus ($100,000) plus his Paragraph 5 Salary ($660,000). Accordingly, the player's maximum annual increase in Rookie Salary may not exceed $190,000 ($760,000 x 25%). Rookie Salary For a Drafted Rookie means the highest amount of earnable compensation for which such player and Club have contracted in each year of his Rookie Contract regardless of whether any or all amounts are earned or considered "likely to be earned" as set forth in Article 13, excluding only (A) the Fifth-Year Option Paragraph 5 Salary described in Article 7, Section 7 of the CBA, (B) the amount by which the player's Paragraph 5 Salary may increase pursuant to the Proven Performance Escalator as described in Section 4, (C) minimum offseason workout per diem as set forth in Article 21, and (D) compensation for community relations/sponsor appearances (subject to the maximum amounts permitted in Article 7, Section 3(b)(iv)). For an Undrafted Rookie means the highest amount of earnable compensation for which such player and Club have contracted in each year of his Rookie Contract that exceeds the then-applicable Minimum Active/Inactive Salary for each League Year of the contract regardless of whether any or all amounts are earned or considered "likely to be earned" as set forth in Article 13, excluding only (A) minimum offseason workout per diem, and (B) compensation for community relations/sponsor appearances (subject to the maximum amounts permitted in Article 7, Section 3(b)(iv)). Year-One Rookie Salary For a Drafted Rookie means the highest amount of earnable compensation for which such player and Club have contracted in the first year of his Rookie Contract regardless of whether any or all amounts are earned or considered "likely to be earned" as set forth in Article 13, excluding only (A) minimum offseason workout per diem, and (B) compensation for community relations/sponsor appearances (subject to the maximum amounts permitted in Article 7, Section 3(b)(iv)). For an Undrafted Rookie means the highest amount of earnable compensation for which such player and Club have contracted in the first year of his Rookie Contract that exceeds the then-applicable Minimum Active/Inactive Salary for players with zero credited seasons regardless of whether any or all amounts are earned or considered "likely to be earned" as set forth in Article 13, excluding only (A) minimum offseason workout per diem, and (B) compensation for community relations/sponsor appearances (subject to the maximum amounts permitted in Article 7, Section 3(b)(iv)). Total Rookie Compensation Pool The League-wide limit on the total amount of Rookie Salary for which all Clubs may contract with Drafted and Undrafted Rookies over the entire term of such Rookie Contracts. By way of example, a Drafted Rookie selected in the second round who signs a four-year contract with Rookie Salary of $1,000,000 in year one, $1,100,000 in year two, $1,200,000 in year three, and $1,300,000 in year four would have $4,600,000 count against the Total Rookie Compensation Pool. Year-One Rookie Compensation Pool The League-wide limit on the total amount of Year-One Rookie Salary for which all Clubs may contract with Drafted Rookies and Undrafted Rookies in the first year of such Rookie Contracts. By way of example, a Drafted Rookie selected in the second round who signs a four-year contract with Rookie Salary of $1,000,000 in year one, $1,100,000 in year two, $1,200,000 in year three, and $1,300,000 in year four would have $1,000,000 count against the Year-One Rookie Compensation Pool. Total Rookie Allocation For each Club, its proportional share of the Total Rookie Compensation Pool, calculated based upon the number, round and position of the Club's selection choices in the Draft, plus the Undrafted Rookie. The sum of the Total Rookie Allocations for all Clubs shall equal the Total Rookie Compensation Pool. Year-One Rookie Allocation For each Club, its proportional share of the Year-One Rookie Compensation Pool, calculated based upon the number, round and position of the Club's selection choices in the Draft plus one-third of the Undrafted Rookie Reservation. The sum of the Year-One Rookie Allocations for all Clubs shall equal the Year-One Rookie Compensation Pool. Undrafted Rookie Reservation For the 2021 League Year, a maximum of $160,000 per Club may be paid to Undrafted Rookies as signing bonus or amounts treated as signing bonus. This amount (the "Undrafted Rookie Reservation") shall increase each subsequent League Year by the percentage increase of the Total Rookie Compensation Pool. Option Year An additional year added to the end of the player contract by means of an individually negotiated separate addendum to the NFL Player Contract (CBA Article 5). Designated Payee The ability to designate multiple contract advisors on the existing Standard Representation Agreement ("SRA") caused confusion among players as to whom payment for services must be made. As such, the Board resolved that the SRA designate only one "payee" to whom the player shall submit payment. (See Section 5 of the SRA.) Any fees owed to additional contract advisors under that SRA will be handled by the Designated Payee. At any time after the conclusion of the sixth (6th) week that a player has been on Reserve a Club is permitted to return the player to practice for a period not to exceed 21 days. Provided the player has been on Reserve for at least eight (8) games from the date he was placed on Reserve, a Club is permitted to return him to the Active/Inactive List anytime during this 21-day practice period. In order to do so, the player must be noted as "Designated For Return" on the first day that he returns to practice. Physically Unable to Perform (PUP) A Player who fails his Club's preseason physical at the start of training camp because of an injury sustained while performing services pursuant to his NFL Player contract in a previous season may be placed on the Club's Physically Unable to Perform List (PUP). Physically Unable to Perform (PUP) Salary Any Player placed on the Physically Unable to Perform List will be paid his full salary while on PUP. Physically Unable to Perform (PUP) Permissible Activity Players who have been placed on PUP may participate in the following activities: (a) participating in non-contact rehabilitative activity; (b) attending team meetings; (c) observing team practice sessions Physically Unable to Perform (PUP) Prohibited Activity Players who have been placed on PUP are prohibited from participating in practice sessions. Physically Unable to Perform (PUP) Tolled Contract While on PUP, the Player's contract will not be tolled, unless, in the last year of his contract, he is still physically unable to perform his football services as of the sixth regular season game. Physically Unable to Perform (PUP) Roster Move Beginning the day after the Club's sixth regular season game the Club is permitted to return the player to practice for a period not to exceed 21 days. During this time, the player may be restored to the Club's Active/Inactive list. If the player is not restored to the Active/Inactive list, the player is prohibited from practicing and may not be restored to the Club's Active/Inactive list for the remainder of the season. Non-Football Injury or Illness (NFI) A Player who fails the preseason physical of his Club because of an injury or illness unrelated to football may be placed on the Non-Football Injury or Illness List (NFI) if the injury or illness renders him unable to play football. A Player who suffers an injury or illness unrelated to football after passing the Club's preseason physical may also be placed on NFI. If placed on NFI in this manner a player will not be able to return to practice or play with his Club at any time during the season unless he is Designated For Return. Non-Football Injury or Illness (NFI) Salary A Player will not be entitled to receive his salary while on NFI, however the Club may elect to pay the player all or part of his negotiated Paragraph 5 Salary. Non-Football Injury or Illness (NFI) Permissible Activity Players placed on NFI may: (a) rehabilitate with the Club's medical staff; (b) attend team meetings; (c) observe team practice session. Non-Football Injury or Illness (NFI) Prohibited Activity Players placed on NFI are prohibited from: (a) participating in team practice sessions; (b) dressing in game uniform; (c) participating in game-day warm-ups; (d) representing their teams in pre-game ceremonies; (e) appearing in games. Non-Football Injury or Illness (NFI) Tolling While on NFI, a Player's contact will not be tolled, except for a Player who is in the final year of his contract, in which case his contract will be tolled. However, if a Player is physically able to perform on or before the sixth regular season game, the Club must pay the Player his salary for the balance of the season in order to toll such contract Reserve/Left Squad In those cases where a Player leaves his Club without permission after reporting to training camp, he may be placed on the Club's Reserve/Left Squad List. A Player placed on Reserve/Left Squad shall remain on the Left Squad List for the remainder of the regular season and postseason and may not be re-instated to the active list of the Club until the following season. If Player leaves without permission, a Club cannot place the Player on Reserve/Left Squad unless the Club issues a letter informing Player that he may be placed on Reserve/Left Squad if he does not return to Club within five (5) days. Reserve/Left Squad return If Player returns within five (5) days, the Club may: (1) restore Player to the Active List; or (2) waive or trade Player. Reserve/Left Squad not returned If Player does not return to Club within five (5) days after receiving notice, the Club may: (3) place Player on Reserve/Left Squad list; (4) waive Player; or (5) Continue to count the player on the Active List. Reserve/Left Squad Prohibited Activity A Player placed on the Reserve/Left Squad List is prohibited from: (a) participating in team practice sessions; (b) attending meetings; (c) playing in games Reserve/Left Squad Contract Tolled A Player placed on Reserve/Left Squad List shall have his contract tolled. Reserve/Did Not Report Active/Inactive List with the Practice Squad player's number of Credited Seasons (i.e., the "up" amount) for such game Practice Squad 7 If a Practice Squad player is elevated to a Club's Active/Inactive List for any postseason game, he shall be paid Postseason Pay under the applicable Section of Article 37 of this Agreement for such game Practice Squad 8 Any games for which a player is elevated to a Club's Active/Inactive List in this manner shall count for purposes of earning a Credited Season for both minimum salary and pension credit and an Accrued Season for purposes of free agency Practice Squad 9 In the event a Practice Squad player: (1) sustains a football-related injury during the game for which he was elevated to the Club's Active/Inactive List (or during practice after being elevated but prior to the game), and (2) is physically unable to practice or play for the Club due to the injury, the player's weekly compensation specified in Paragraph 4 of the Practice Squad Player Contract will be adjusted to one-eighteenth (1/18th) of the Paragraph 5 minimum salary for players not on a Club's Active/Inactive List (i.e., the "down" amount) with the player's number of Credited Seasons. Such a player shall receive this weekly "Salary Continuation" for so long as he remains physically unable to perform the services required of him because of such injury. Once the Practice Squad player is physically able to perform the services required of him by his Practice Squad Player Contract, his salary will be adjusted to the amount set forth in Paragraph 4 of that contract for the period of time he remains on the Club's Practice Squad. Any dispute concerning the player's entitlement to Salary Continuation while he remains on the Club's Practice Squad and/or any dispute concerning the number of weeks of Salary Continuation to which the player may be entitled shall be resolved in accordance with the rules and procedures set forth in Article 43 (Non-Injury Grievance) of this Agreement. The neutral physician procedures set forth in Article 44 (Injury Grievance) shall apply to any such grievance Practice squad 10 If a Practice Squad player sustains a football-related injury during the game for which he was elevated to a Club's Active/Inactive List (or during practice after being elevated but prior to the game) and is subsequently placed on the Club's Practice Squad/Injured List, he will be paid Salary Continuation (for so long as he remains physically unable to perform the services required of him because of such injury) at a rate equal to the prorated portion of the Paragraph 5 minimum salary for players not on a Club's Active/Inactive List (i.e., the "down" amount) with the player's number of Credited Seasons. Once the Practice Squad player is physically able to perform the services required of him by his Practice Squad Player Contract, his salary will be adjusted to the amount set forth in Paragraph 4 of that contract for the period of time he remains on the Club's Practice Squad/Injured List. Any dispute concerning the player's entitlement to Salary Continuation while he remains on the Club's Practice Squad/Injured list and/or any dispute concerning the number of weeks of Salary Continuation to which the player may be entitled shall be resolved in accordance with the rules and procedures set forth in Article 43 (Non-Injury Grievance) of this Agreement. The neutral physician procedures set forth in Article 44 (Injury Grievance) shall apply to any such grievance Signing Bonuses Signing bonuses, and other amounts treated as signing bonuses (OATSB), are prorated equally over the length of the player's contract, up to a maximum number of five (5) years (including option years in veteran contracts) as specified in the 2020 CBA. For example, for a $5 million signing bonus in a five-year veteran player contract, the signing bonus will count $1 million against Team Salary for each of the five seasons— even though the player may have actually received payment of the full $5 million immediately. In 2021, if in this example a veteran player signed a 7-year contract, then the signing bonus would still be prorated over the maximum number of years (5). If a player signs a contract for fewer than 5 years, then the number of years of proration would equal the number of years covered by the contract. Renegotiation Signing Bonuses If a signing bonus is given in conjunction with a renegotiation and/or extension of a previously existing contract, the renegotiation signing bonus is prorated over the length of the new contract years including the year in which the renegotiation occurs, up to the maximum number of years for proration as stated above. For example, if a veteran player signed a two-year contract for the 2020 and 2021 seasons, and then receives a renegotiation signing bonus during the 2021 regular season for extending the contract another two seasons—2022 and 2023 —the renegotiation signing bonus is prorated equally over 2021, 2022 and 2023, not just 2022 and 2023. The proration on the original signing bonus, if any, does not change and still must be counted when computing the player's "cap number" for the 2021 season in this example. Option Bonuses If a bonus is given in conjunction with a Club's right to exercise a future option year(s) in a veteran player's contract, that bonus is treated as signing bonus and prorated equally over the remaining years of the contract (including the option year(s)) beginning in the League Year in which the option is exercised or the last League Year in which the option may be exercised, whichever comes first. The proration of the option bonus is also subject to the maximum number of years allowed as stated above. For example, a veteran player signs a three-year contract in 2020 that includes a club option for a fourth year if in 2021 the club exercises the option and pays the player an option bonus of $3,000,000. For purposes of proration of the option bonus, the $3,000,000 is prorated equally beginning in 2021 over the remaining term of the contract, including the option year (three years total in this example). The original signing bonus in this example would be prorated over four years as years in which a Club has a right to exercise an option must be included when prorating a signing bonus. Option years for rookies are only available to rookies drafted in the first round as described in Article 7 of the 2020 CBA and would not include an option bonus. Paragraph 5 Salary (Base Salary) Paragraph 5 Salary always counts in full against Team Salary for the year in which it is earned even if the amount of salary is guaranteed or not. Proration would only occur in the case of an advanced payment of guaranteed Paragraph 5 Salary. Likely-To-Be-Earned Amounts Some salary components count against Team Salary only if they are termed "likely to be earned" (LTBE). These components include, but are not limited to performance and honors incentives, roster bonuses, reporting bonuses and offseason workout bonuses. To determine whether a performance or honor incentive is LTBE for veterans, the key is the player's and/or team's on-field performance in the previous season. For example, a running back could have an incentive worth $100,000 if he gains 1,000 rushing yards during the 2021 season. If the player rushed for at least 1,000 yards in 2020, the incentive is treated as LTBE as he achieved the necessary performance level the previous season, and the $100,000 counts against Team Salary at the time the contract is executed in 2021. However, if the player rushed for fewer than 1,000 yards in 2020, then the incentive is treated as "not likely to be earned" (NLTBE) and does not count against Team Salary at the time the contract is executed in 2021. The same rule applies for determining whether a team incentive is LTBE or NLTBE except in the final League Year of the CBA or thereafter. All incentives for rookies are deemed LTBE and are limited to those described in Article 7 of the 2020 Collective Bargaining Agreement and must be included in the calculation of Rookie Salary, Year-One Rookie Salary, the Total Rookie Compensation Pool, the Year-One Rookie Compensation Pool and the 25% rule. Roster Bonuses Roster bonuses are treated very much like performance bonuses. For veterans, the player's prior year determines whether a roster bonus for the current season is LTBE or NLTBE. If a veteran was a member of his Club's Active/Inactive roster for 14 games in 2020 and has a roster bonus for $50,000 if he is a member of his Club's Active/Inactive roster for the same or a fewer number of games in
