Corporate governance embodies structures, systems, mechanisms and framework through which organizations are directed and controlled by those saddled with the duties and responsibilities in the interest of shareholders and other stakeholders. According to the Organization for Economic Corporation and Development OECD (2004) the tenets of good corporate governance should be fairness, transparency, probity and accountability by management. This ensures that responsibilities are clearly defined amongst all stakeholders in order to facilitate policy implementation. By doing this, it provides guidelines through which organizational objectives are set, as well as the modalities for achievement and monitoring performance (Wolfensohn, 1999; Uche 2004; Akinsulire, 2006). An effective corporate governance structure should promotes sound internal control system, risk management, compliance with ethical and statutory requirements, ensures transparent and efficient markets, accountability and trust

Ventilator is a device designed to provide artificial breathing for patients with lung disease and respiratory failure. A ventilator can fulfill the function of respiration in whole or in part. Ventilator respiration can be spontaneous, assisted or controlled. In spontaneous respiration, patients determine their own respiratory rate and tidal volume. In assisted respiration, patients decide their respiratory rate but tidal volume is determined by the ventilator. In controlled ventilation, both the rate of respiration and tidal volume are determined by the ventilator. Each model of ventilation has different ranges of setting. More modern and developed machines provide the operators with more options in respiration settings. Though modern ventilators appear to be complex, they determine effective ventilation protocols for patients. Patients are put on ventilators when they can't inhale alone. This might be for any of the accompanying reasons:

To construct an automated controlled ventilator that is microcontrolled. II. To construct a ventilator that provides the best opportunity of saving patient lives. III. To provide a machine that is user friendly. 1.3 SCOPE OF THE STUDY The scope of the project focuses on the design, construction and testing of the machine for optimum operation. Optimization of the variables and parameters will not be attempted. Ultimately, the goal is to build a physical and functioning version of the new design of the ventilator and cost friendly. 1.4 JUSTIFICATION OF THE STUDY
The project if well carried out will reduce material wastage caused by defects during construction, reduce the production cycle time, increase consumers’ satisfaction thus improving the cost effective effectiveness in industries.
