How to incorporate
The articles of incorporation, pursuant to Chapter 607/621 F.S must set the below;
Article 1- The name of the Corporation which must include a corporate suffix like Corp., Incorporated, Company or Corporation.
Article 2- The physical street address (principal place) of business and the mailing address of the company.
Article 3- The purpose of the corporation.
Article 4- The authorized number of shares of stock
Article 5- The name, addresses and titles of the directors. This is not mandatory but optional.
Article 6- The name and Florida Street address of the initial registered Agent.
Article 7- The name and address of the Incorporator. The incorporator must type their name in the signature block. Electronic signatures have the same legal effect as original signatures.
The “incorporator” is the person who prepares and signs the Articles of Incorporation and then submits them for filing to the Division of Corporations. The function of the incorporator usually ends after the corporation is filed.
Steps to incorporation
Come up with a business name which must be unique and distinguishable on the records of Department of State. Conduct a preliminary search of names and reserve the name which should then be used once you receive your filling acknowledgement from the Divisions of Corporations.
Dully fill the application form containing all the above Articles and make sure a legal counsel has gone through all the documents to make sure they are correctly filled and certified. Fill an annual report as well to maintain an active status and pay all the fees required.
Obtain a taxpayer identification number An Employer Identification Number (EIN) is also known as a Federal Tax Identification Number, and is used to identify a business entity. Generally, businesses need an EIN. You may apply for an EIN in various ways; Fax, mail, Telephone (international applicants) and now online application.
