1. We will discuss the following case and questions
On May 2011, Ms. Anna Miró hired the services of the lawyer Mònica Plana, from
the law firm “Germans Plana Advocats”, to defense her interests in the
inheritance proceeding of her father, who died one month ago with personal
assets amounting 1 million Euros.
The service contract signed with the law firm included the general clauses about
price, terms of payment and requirements to the services rendered and final
clauses in a different font and in a lower size, in which it was established the
Spanish law as the applicable law to the contract, that the competent courts will
be the ones of the client’s domicile, that both parties may act in good faith during
the contract and if Ms. Miró decides to terminate the contract, Ms. Miró is obliged

to pay the law firm the services rendered, plus a 15% of its share in the inheritance.

Three months after signing the service agreement, Ms. Miró was dissatisfied with the services rendered by the lawyer in the inheritance proceeding and decided to terminate the contract and hired a lawyer specialized in inheritance law.

On November 2011, “Germans Plana Advocats” filed a claim against Ms. Miró claiming a compensation of 300,000 Euros, in which was included the price of its professional services rendered, the damage suffered for the termination of the contract, and the judicial fees of the proceeding.

Questions:

a. Which is the meaning of General Terms and Conditions and its

main characteristics?

b. Which are the differences between General Terms and Conditions

and unfair clauses?

c. If an individual or a legal entity hires a lawyer, does it have to be

considered as consumer or businessman?

d. Could it be considered by a Court that a particular clause of a

contract, which is not a General Term and Condition, is unfair?

e. Is there any unfair clause in the service contract of the case? In

case you say yes, explain which kind of clause it is according RDL 1/
